Referral terms

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY USING YOUR REFERRAL LINK, YOU AGREE TO THESE TERMS AND CONDITIONS.

1. About these terms

The referral programs on shopdonation.com (the “Website”) are offered by ShopDonation (trade names DoelShop and ShopDonation), Vondelwende 52, 2182 VV Hillegom, the Netherlands (Chamber of Commerce number 63810573) (“we”, “us” or “our”), the operator of the Website. Each program (a “Program”) has been created to reward you (“you”, “Referrer”, “Participant”) for inviting friends to the Website (Part A, Refer a friend) or for inviting other entities or individuals to post/create a Cause on the Website (Part B, Refer a cause) (“Referred”, “Participant”).

These Program Terms and Conditions are a binding agreement between you and us and will govern your participation in any and all Program offers. By participating in the Program, you agree to the Website Terms and Conditions and the Website Privacy Policy. You are not authorised to participate in the Program if you do not agree to these Program Terms and Conditions in their entirety.

We reserve the right to modify these Program Terms and Conditions at any time, at our sole discretion, and without notice to you. We may also, in our sole discretion, change, cancel, suspend, or modify any aspect of the Program without notice. We also reserve the right to disqualify any participant at any time from participation in the Program.

2. Definitions

“Cause” means any organization, club, group or individual listed on the Website as a beneficiary of donations, such as a charity, sports club, school or association.

“Gross Sales” means the affiliate commission actually received by us for purchases made through the Website, after deduction of cancelled, rejected or reversed commissions, and excluding VAT.

3. Part A: Refer a friend

A.1 How it works. As a registered user of the Website you get a personal referral link. If a friend who did not yet have an account registers on the Website through your link (a “Referred Friend”), you can earn a bonus (the “Friend Bonus”).

A.2 Amount. The Friend Bonus is $2.00 for each Referred Friend.

A.3 When you earn it. You earn the Friend Bonus once your Referred Friend has generated at least $10.00 in Gross Sales through the Website within 6 months after registering. Only transactions rated ‘accepted’ by the affiliate systems count.

A.4 For your cause or for yourself. You choose whether the Friend Bonus goes to a Cause of your choice on the Website or is paid to you.

A.5 Payout. A Friend Bonus for a Cause is added to that Cause’s next regular payout. A Friend Bonus for yourself is paid at the first payout moment after your balance reaches $30.00, to the bank account you give us. Any transaction costs are deducted.

A.6 Limits. Only one Friend Bonus can be earned per Referred Friend, regardless of the number of purchases. Self-referrals, duplicate referrals and referrals of several accounts controlled by the same person are void.

4. Part B: Refer a cause

B.1 General description.

The Referrer may use a special link to invite other entities or individuals to post/create a Cause on the Website.

Only if the Referred Cause (the “Referred Cause“) generates income through the Website, then the Referrer will be entitled to receive the bonus (the “Bonus”) in accordance with these Terms and Conditions.

B.2 Qualified Referrals. A Qualified Referral occurs when:

Only if the Referred Cause generates income through the Website, then the Referrer will be entitled to receive the Bonus in accordance with these Terms and Conditions.

The Bonus intended for the Referrer will be calculated on the Gross Sales realised by the Referred Cause, as follows:

The Referrer Bonus will be 2.5 % of Gross Sales, generated by the Referred Cause, maximised to $30.00, within a two year period, solely for transactions rated as 'accepted' by the affiliate systems.

For each individual Referred Cause, no higher Bonus can be paid than the maximum indicated, nor can the same Cause generate another bonus if it’s created or posted again.

Any income the Cause generates after two years from registration will not be included in any Bonus payment. If the Bonus does not reach the amount of $30.00, the Bonus will be paid at the end of the two-year period or at the first upcoming payout moment (when the Referred Causes receive payouts).

B.4 Payout.

The Referrers will be entitled to receive the Bonus when transactions reach status rated ‘accepted’.

The Bonus will be transferred to the Referrer when the amount reaches $30.00, or when the period of 2 years has ended regardless of the amount reached, in which case the remaining amount will be transferred at the first upcoming pay-out moment, at the same moment when the Referred Causes receive pay-outs.

The amount of the Bonus the Referrer will receive will be reduced by any transaction costs that may occur.

5. General rules (Part A and Part B)

5.1 Eligibility. To be eligible for participation in the Program, both the Referrer and the Referred (if it is an individual) must be at least 18 years of age.

We reserve the right to find ineligible any Participant in the Program at our sole discretion.

5.2 Conduct. We reserve the right, at our sole discretion, to prohibit any Participant from participating in any aspect of the Program if we deem or suspect that such Participant has engaged in or has attempted to engage in any of the following: a) acting in violation of these Program Terms and Conditions; b) damaging, tampering with or corrupting the operation of our Program or Website; c) activity deemed in our sole discretion to be generally inconsistent with the intended operation of the Program. We shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Program Terms and Conditions or such attempt(s).

6. Liability

Binding Effects. By participating in the Program, you agree to and are bound by these Terms and Conditions. If you do not wish to agree to and abide by the Program Terms and Conditions in their entirety, you are not authorised to participate in the Program.

Release. To the extent permitted by law, by participating in the Program, Participants release us, SHOPDONATION, their subsidiaries, affiliates, suppliers, advertising, and promotions agencies and their respective directors, officers, employees, and agents from any and all liability for any loss, harm, damages, cost, or expense, including, without limitation, property damages, personal injury and/or death, arising out of or in any way connected to the Program and/or the use of any Program rewards.

Indemnification. Participants agree to indemnify, defend, and hold us, SHOPDONATION and their representatives and agents harmless from and against any and all third party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from, or related to any breach by the participant of any of these Program Terms and Conditions or any violation by Participant of applicable law.

7. Disclaimer

Computer System. We disclaim any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserve the right, in our sole discretion, to cancel, modify, or suspend the Program should a virus, bug, computer problem, unauthorised intervention, or other causes beyond our control, corrupt the administration, security, or proper performance of the Program.

Reserved Right. We reserve the right to cancel or suspend the Program should we determine, in our sole discretion, that the administration, security, or fairness of the Program has been compromised in any way.

PARTICIPANTS AND PROSPECTIVE PARTICIPANTS EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE EXTENT PERMITTED BY LAW: (A) YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK, THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND WE EXPRESSLY DISCLAIM ALL WARRANTIES, CONDITIONS AND TERMS (COLLECTIVELY, "PROMISES") OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, PROMISES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED PROMISES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WE MAKE AND GIVE NO PROMISE THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

8. Other Terms

General Terms. These Program Terms and Conditions constitute the entire agreement between Participants and us concerning Participants’ use of the Program. Our failure to exercise or enforce any right or provision of these Program Terms and Conditions shall not constitute a waiver of such right or provision.

Term and Termination. Your participation in the Program begins when you first use your personal referral link and continues until either you or we end it. Either you or we may end your participation at any time, with or without cause, by giving the other party notice. Notice by email, from/to your address on our records, is considered sufficient notice.
